Terms of Service

1. Agreement to Terms

By accessing or using Keizen's accounting automation platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Keizen (Pty) Ltd, a company registered in South Africa.

2. Service Description

Keizen provides AI-powered accounting automation services including:

  • Automated bookkeeping and financial record management
  • SARS-compliant payroll processing
  • Invoice generation and expense tracking
  • Financial reporting and analytics
  • Tax compliance assistance

3. Account Registration and Security

3.1 Account Creation

You must provide accurate, complete, and current information during registration. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. Business accounts must be authorized by an authorized representative.

3.3 Account Security

You are responsible for all activities under your account. Notify us immediately of any unauthorized access or security breaches.

4. Subscription and Payment

4.1 Subscription Plans

Our Service is offered through various subscription plans with different features and pricing. Current pricing is available on our website.

4.2 Payment Terms

  • Subscriptions are billed in advance on a monthly or annual basis
  • All fees are in South African Rand (ZAR) unless otherwise specified
  • Payments are non-refundable except as required by law
  • We may change pricing with 30 days' notice

4.3 Automatic Renewal

Subscriptions automatically renew unless cancelled before the renewal date. You may cancel at any time through your account settings.

5. User Responsibilities

You agree to:

  • Provide accurate financial information and data
  • Comply with all applicable laws and regulations
  • Use the Service only for lawful business purposes
  • Maintain the security of your account credentials
  • Not share your account with unauthorized users
  • Not attempt to reverse engineer or compromise the Service

You agree NOT to:

  • Use the Service for fraudulent or illegal activities
  • Upload malicious code or viruses
  • Interfere with the Service's operation or security
  • Scrape, copy, or redistribute our content without permission
  • Impersonate others or provide false information

6. Intellectual Property

6.1 Our Rights

The Service, including all software, algorithms, designs, and content, is owned by Keizen and protected by intellectual property laws. You receive a limited, non-exclusive license to use the Service.

6.2 Your Data

You retain ownership of all data you input into the Service. You grant us a license to process this data solely to provide the Service.

7. Service Availability and Support

7.1 Uptime

We strive for 99.9% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be announced in advance when possible.

7.2 Support

Support is provided via email and in-app messaging. Response times vary by subscription plan.

8. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided “AS IS” without warranties of any kind
  • We are not liable for indirect, incidental, or consequential damages
  • Our total liability is limited to the amount you paid in the past 12 months
  • We are not responsible for tax advice or compliance decisions
  • You should consult qualified professionals for financial and tax matters

Note: Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability is limited to the extent permitted by law.

9. Indemnification

You agree to indemnify and hold Keizen harmless from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any rights of third parties.

10. Termination

10.1 By You

You may cancel your subscription at any time. Access continues until the end of your billing period.

10.2 By Us

We may suspend or terminate your account for:

  • Violation of these Terms
  • Non-payment of fees
  • Fraudulent or illegal activity
  • Extended inactivity

10.3 Data Export

Upon termination, you have 30 days to export your data. After this period, we may delete your data in accordance with our retention policies.

11. Dispute Resolution

11.1 Governing Law

These Terms are governed by the laws of South Africa. For international users, local consumer protection laws may also apply.

11.2 Arbitration

Disputes will be resolved through binding arbitration in Cape Town, South Africa, except where prohibited by law.

11.3 EU Users

EU users may access the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

12. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or platform notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.

13. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and Keizen
  • Severability: If any provision is unenforceable, the remainder remains in effect
  • No Waiver: Failure to enforce any right does not waive that right
  • Assignment: You may not assign these Terms without our consent
  • Force Majeure: We are not liable for delays due to circumstances beyond our control
